1. Acceptance
If you use Okulo on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use Okulo.
2. The service
Okulo is software for organizations that hire and manage people. Modules may include People, Hire, Sign, Verify, Cube, and related features we make available over time. Features marked as preview, beta, or “soon” may change or end without notice.
We may update Okulo to improve security, performance, or functionality. We will try to avoid disrupting your work, but we do not guarantee uninterrupted access.
3. Accounts and access
- You must provide accurate account information and keep credentials secure.
- You are responsible for activity under your organization’s workspace and member accounts.
- One user identity is bound to one organization membership model as configured in Okulo.
- You must promptly revoke access when someone leaves your organization.
4. Customer data
You retain ownership of content and personal information you or your users submit to Okulo (“Customer Data”). You grant us a limited license to host, process, transmit, and display Customer Data only as needed to provide Okulo and as otherwise directed by you.
You are responsible for having a lawful basis to collect and process Customer Data, including candidate, employee, referee, and signer information, and for configuring Okulo in line with your policies and applicable law.
5. Acceptable use
You agree not to:
- Use Okulo for unlawful, discriminatory, or deceptive hiring or employment practices
- Probe, scan, or attack the service, or bypass access controls
- Upload malware or content you do not have rights to use
- Resell, scrape, or misuse Okulo except as allowed in your agreement
- Interfere with other customers’ use of the service
We may suspend or terminate access if we reasonably believe these Terms have been violated or if continued use creates legal, security, or operational risk.
6. Plans, fees, and trials
Paid plans, pilots, and discovery engagements are described in your order form, invoice, or written agreement. Fees are non-refundable except as stated in that agreement or required by law. We may change published list prices for future renewals with notice.
7. Privacy and security
Our Privacy Policy explains how we handle personal information. Okulo is built with regional hosting options, organization isolation, and audit trails so sensitive people data can stay where you operate. You remain responsible for how your team uses those controls.
8. Third-party services
Okulo may integrate with email, calendar, storage, background-check, AI, or other providers you enable. Those services are governed by their own terms. We are not responsible for third-party outages or policies outside our control.
9. Intellectual property
Okulo, including software, design, trademarks, and documentation, remains our property or that of our licensors. These Terms do not transfer ownership of Okulo to you. Feedback you share may be used to improve the product without obligation to you.
10. Disclaimers
Okulo is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Okulo will be error-free or that it will achieve any particular hiring or business outcome.
11. Limitation of liability
To the fullest extent permitted by law, Floating Binary Software Systems Inc. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from your use of Okulo.
Our total liability for all claims arising out of these Terms or Okulo will not exceed the amounts you paid us for Okulo in the twelve months before the claim, or one hundred Canadian dollars if you are on a free or trial plan.
12. Indemnity
You will defend and indemnify us against claims arising from Customer Data, your use of Okulo, or your breach of these Terms, except to the extent caused by our willful misconduct.
13. Suspension and termination
You may stop using Okulo at any time. We may suspend or end access for non-payment, material breach, or risk to the service. After termination, we will make Customer Data available for export for a reasonable period as described in your agreement, then delete or anonymize it according to our retention practices, unless law requires longer retention.
14. Changes to these Terms
We may update these Terms by posting a revised version on this page. Continued use after the effective date constitutes acceptance of the updated Terms, unless your written agreement with us says otherwise.
15. Governing law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law rules. Courts in Ontario have exclusive jurisdiction, except where applicable consumer law requires otherwise.
